Client Agreement

This Client Agreement describes the terms and conditions subject to which Clients are allowed to use this Website and our Services. By accessing or using this Website, Clients agree to these terms and conditions in addition to the Terms of Service and the Privacy Policy published on the Website.

  1. Definitions: In this Agreement,
    1. "Agreement" means this Client Agreement setting out the terms and conditions for using this Website.
    2. "Company" means Meeturpro E Ventures Private Limited, a company registered under the Indian Companies Act, 2013 and having its Registered Office at No. 3, 6th Floor, Apex Plaza, Nungambakkam High Road, Nungambakkam, Chennai – 600034, Tamil Nadu
    3. Courier Services means the service integrated on the Website for picking up and delivering any documents from the Client or the Professional to the Professional or the Client, respectively.
    4. "Price" means the total sum of Professional Charges, MUP Fees and Taxes as quoted on the Website.
    5. "MUP Fee" means the charges payable to the Company for availing Services through this Website.
    6. "MUPID" refers to the unique number or ID provided to the Professional upon registration with the Website.
    7. "Professional(s)" means the Advocate or Chartered Accountant or Company Secretary or Cost & Works Accountant or a Professional under any other nomenclature registered as a Professional and who provides the Services through this Website.
    8. "Professional Charges" means the charges quoted by and payable to a Professional for providing Services through this Website.
    9. "Reimbursements" means the expenditure to be incurred by the Professional on behalf of the Client for the purpose of execution of work pertaining to a Service in a Client Engagement which is payable by the Client to the Professional before the completion of that Service.
    10. "Service(s)" means the professional service or work standardized as products on the Website, provided and carried out by a Professional for a Client through the Website.
    11. "Taxes" includes all the applicable taxes and cesses leviable at the prevailing rates.
    12. "TIMI" is the state-of-the-art online workflow software for the purpose of carrying out the Client Engagements with the Professional for a particular Service.
    13. "Client(s)" means the person registered as a client with the Website to avail Services of the Professionals. A Client may also be referred to as a customer or a user or by any other nomenclature depending on the context of such reference.
    14. "Client Account(s)" means the account registered by a Client with this Website.
    15. "Client Engagement(s)" means a work availed by a Client from the Services provided by the Professional through this Website.
    16. "Website" means this online portal floated by the Company under the domain name www.meeturpro.com or any other affiliates / domains / sub domains of this website which is accessible through computer devices and mobile platforms.
    17. "Payment Gateway" means the payment mechanisms available on the Website which allows a Client to make online payments using valid payment instruments such as credit cards, debit cards, internet banking, etc. These gateways could be HDFC payment gateway, PayTM Money Wallet or any other gateway made available on the Website.
    18. "Force Majeure" means an occurrence beyond the reasonable control and without the fault or negligence of the Professional and which the Professional is unable to prevent or provide against by the exercise of reasonable diligence.
  2. Scope This Website is an online portal where Clients can avail/buy Services listed on the Website and priced by the Professionals subject to this Client Agreement.
  3. Eligibility A Client shall not use this Website if,
    1. The Client is below 18 years of age;
    2. The Client is incapable of entering into legally binding contracts;
    3. The Client’s Account is suspended or closed by the Website.
  4. Identity / Know Your Customer For the purpose of validating the identity of and the details provided by the Client, the Client agrees that the Company may,
    1. Directly and/or through third parties, verify and/or make such inquiries considered necessary by the Company.
    2. Verify information against third party databases.
    3. Seek information from the Client or other third parties further to the details provided by the Client at the time of registration.

In the event identity and/or details provided by the Client are found to be incorrect and/or false through verification by the Company or the Company is unable to verify, the Client Account shall be, at the sole discretion of the Company, closed, suspended or limited to access.

  1. Client Account
    1. Every user of this Website must register/open a Client Account to avail the Services provided by the Professionals.
    2. The user shall provide correct, complete and true details for such registration of Client Account.
    3. Any person or organisation may be refused to be registered as a Client at the sole and absolute discretion of the Company.
    4. The Company has the right to close a Client Account that has not been used for a continuous period of 24 months. In such cases, the Client may register again with the same credentials, should he want to use the Services.
  2. Availing Services A Client may avail Services of the Professionals in the following manner,
    1. The Website has a list of products with brief descriptions of the purpose, suitability, advantages and procedures involved in respect of that product. It also lists all the Professionals offering services for each of those products along with respective Price. These Professionals may or may not be verified by the Company. .
    2. The Client may elect to avail the Service(s) from one of such Professional who is listed with the Website.
    3. On the Client confirming his selection, the Client shall deposit the fee quoted on the Website with the Company through the Payment Gateways provided on the Website.
    4. The Client shall be provided with only the MUPID of the Professional.
    5. The communication, exchange of documents (except in the cases where physical copies of the documents are required) etc. with the Professional for a Service shall be carried out by the Client only in TIMI. The quality of services and guarantee of provision of service shall be applicable only if the Service is carried on through TIMI. If physical copies of documents are required to be couriered to the Professional, the Professional shall provide the Client with an address for communication.
    6. The selected Professional shall provide the Service(s) and complete the Service subject to Clause 7.
    7. If any reimbursements are claimed by the Professional, the same shall be processed immediately by the Client. The Payment Gateway charges for processing reimbursements shall be payable by the Client.
    8. In cases of Services involving reimbursements, completion of service shall be subject to payment of reimbursements by the Client within a time specified by the Professional.
    9. Upon Completion of that particular Service and confirmation from the Client, the Company shall release the payment to the concerned Professional
  3. Fees & Payment
    1. For availing Services through this Website, the Client is liable to pay the Price quoted for Services on this Website.
    2. The Client will pay the Price to the Company through the Payment Gateways provided on the Website.
    3. The Professional Charges paid by the Client as a part of the Price for a particular engagement shall be withheld by the Company until the successful completion of the Service by the selected Professional.
    4. Upon successful completion of the Service and confirmation of the same to the Company through the Website, the Company will release the payment of Professional Charges to the Professional.
    5. It shall be the duty of the Client to confirm the completion of work within 5 working days from the date of completion notified by the Professional. In the event of the Client not confirming the completion, the Company shall pay the Professional Charges to the concerned Professional.
    6. For the sake of clarity, it is stated that the Company does not, and the Website or the Payment Gateways shall not be used to, promote or facilitate money-laundering, corruption, bribery or any other illegal means of transferring money or compensation. Upon notification or discovery of such the Client Account shall be closed and the Client shall not be allowed to register again on the Website.
  4. Refund In the event of a Professional failing or is unable to do a Service, the Client may either select another Professional ("Second Professional") to carry out such pending Service without any additional or change in Price (except to the extent of any additional amount in the Price quoted by the Second Professional) or may opt for refund the Price paid by the Client. Refund, if claimed, shall be processed in accordance with the Refund Policy posted on the Website.

Refusal of Services to / Closure of Client Account

  1. A Client will be refused Services and/or a Client Account will be closed by the Company of the Website, if,
    1. The Client is found to have registered a Client Account by giving incorrect, incomplete and/or false information or is found to have misled / intentionally provided false information regarding the Client’s identity.
    2. The Client does not respond to account verification requests or does not complete verification within the stipulated time.
    3. The Client has committed a breach of the terms & conditions contained in this Client Agreement along with the Terms and Conditions and the Privacy Policy of the Website.
    4. The Client is found to be engaged in fraudulent or illegal activities or has acted in violation of any local law in using the Website or the Services.
  2. In the event a Client is refused Services and/or a Client Account is closed for reasons mentioned herein, the Client will not have any claim against the Company in respect of such refusal or closure.
  3. In the event of a Client closing a Client Account, it will be subject to payment of all outstanding amounts owed to the Company.
  1. Relationship
    1. This Agreement sets out the terms and conditions for the Client to avail the Services of Professionals through this Website. This Agreement does not establish any binding relationship between the Client, the Company or the Professional such as partnership, joint venture or employment, etc. The Professional and the Client shall be independent contractors and the Company shall be an intermediary facilitating the provision and availing of Services.
    2. The Company does not have any power, rights or authority to act for, represent, bind or incur obligations on behalf of the Client or the Professional.
    3. The Client chooses the Professional from the list provided in the Website by the Company and as such there would be no liability on the Company for any deficiency in service or shortcoming of the Professional.
  2. Privacy and Confidentiality The information provided by the Client during his registration will be used in accordance with the Privacy Policy provided on the Website. Any information provided by the Client to a Professional for the purpose of a Job or Service is treated as Confidential Information and shall not be used or disclosed to any person other the Professional or Professionals who would be responsible for the Job or Service, without the prior consent of the Client.
  3. Indemnity The Client shall indemnify and continue to indemnify and hold harmless the Company (including its officers, directors, agents, subsidiaries, joint ventures and employees) against any claim or demand, including legal fees and costs, made against the Company by any third party due to or arising out of the Client’s breach of this Agreement or Client’s infringement of any law or the rights of a third party in the course of using the Website or Services provided by the Professionals.
  4. Liability of Company
    1. Client shall be solely responsible to secure the password of the Client’s Account. Any unauthorised access of the Client Account or security breach should be notified to the Company upon which such Client Account will be closed. The Company will not be liable for any loss or damage arising from unauthorised access of Client Account due to the Client’s failure to secure password or the Client’s failure to notify the same to the Company. It is hereby clarified that unless the Company is notified of unauthorised access, the Client shall continue to be responsible for all uses of the Website using his/her Client Account until such notification to the Company.
    2. The Company will not be liable for any indirect, incidental or consequential loss (including loss of income, business or profit) or damages that may be incurred by the Client due to use of the Website or the Services availed through the Website. Further the Company shall not be liable for dissemination of any data or information (including sensitive private data or information) or loss of documents pertaining to a Service that is shared with the Professional outside TIMI.
    3. The Company shall not be liable for loss of confidential information pertaining to a Client. The Confidentiality of information or data pertaining to a Service shall be the sole responsibility of the Professional.
    4. The Company will not be liable for any claim or loss or damage that the Client may incur due to use of the Website or the Services.
  5. Liability for the Services For the Services provided through this Website, the Company is liable only to the extent of empanelling verified Professionals. It is clarified that the Company is only a facilitator of provision of Service and the Website is a platform where the Professionals offer and the Clients select Services. The Company will not be liable for the authenticity of the Professional's information or the consequences of the Services provided by the Professionals and/or the Service carried out by the Professionals. Any claim by a Client with regard to Service carried out by the Professional(s) will lie directly and individually against the Professional(s) and not against the Company in any manner. The Opinions/advices/services provided by the Professionals are their own and the same shall not be treated as one from the Company itself.
  6. Force Majeure In the event that a Professional is unable to perform a Job pending with owing to Force Majeure, the Job shall be re-assigned to a Second Professional. While choosing the Second Professional, the Company shall try its reasonable best to ensure that the Second Professional has the same customer rating and pricing as the Professional originally chosen by the Client. In the event that the Price quoted by the Second Professional is higher than Price quoted by the original Professional, the Company shall inform the Client and seek his prior permission in writing before assigning his Job to the Second Professional.
  7. Grievances & Disputes
    1. If any grievance arises for the Client, the Client shall first contact the Company through the customer support, the details of which have been provided on the Website and the Company shall endeavour to address such grievance to the satisfaction of the Client.
    2. If the grievance is not addressed to the satisfaction of the Client, the Client may select to exercise the alternative dispute resolutions provided by in this Agreement.
  8. Arbitration If any dispute arises between the Client and the Company, the dispute shall first be referred to an arbitration tribunal. The arbitration tribunal shall consist of three arbitrators. Two of the three arbitrators shall each be selected by the Client and the Company. The two arbitrators so selected shall in turn appoint a third arbitrator who shall be the Presiding Arbitrator for the purposes of the arbitration proceedings. The venue and seat of arbitration shall be Chennai. The arbitration proceedings shall be in the English language. The award of the Presiding Arbitrator shall be final and binding
  9. Governing law & Jurisdiction This Client Agreement is governed by the Laws of India. The Client hereby consents to the exclusive jurisdiction of the competent Courts at Chennai, Tamil Nadu to the exclusion of any other courts that may otherwise have jurisdiction in the matter.
  10. Notices
    1. Notices should be in writing and in English language.
    2. Notices should be addressed either by email or by registered ordinary post to the email/address given in the Website in respect of Company and to the email/address given at the time of registration of Client Account in respect of the Client. Unless notified otherwise, a notice sent to either Party in the email or address provided above shall be deemed validly delivered in accordance with Clause 16.3.
    3. Notices sent by email will be deemed to be given 24 hours after emailing and notices sent by registered ordinary post shall be deemed delivered three (3) days after sending by post, unless the Party sending the notice is notified otherwise.
  11. Severability The provisions of this Agreement are severable and if any provisions of this Agreement are held to be invalid or judged unenforceable, the remaining provisions will be enforceable and shall remain in full force regardless of such invalid or unenforceable provisions.
  12. Communications The Client consents to receive notices and information in respect of the Website and the Services provided by the Professionals through the Website by way of email. Except for security, privacy and administrative emails, the Client may withdraw the consent or unsubscribe at any time from receiving such communications.
